Part A — Common Terms
1. Contracting Parties

These Terms govern the contractual relationship between DuyTec GmbH ("Provider") and the user ("Customer") regarding the use of the Aetherly application ("Product") and its subscriptions.
2. Service Description
Aetherly is a peer-to-peer file transfer app for iOS and Windows. Files are transferred directly between users’ devices; file contents are not routed through the Provider’s servers.
The Provider offers Aetherly in three tiers – Free, Basic, and Pro – with different limits on the number of registered devices, concurrent transfers, and favorite contacts. The applicable limits are listed in the app and on the website.
3. Plans and Sales Channels
Paid tiers (Basic and Pro, monthly or yearly) are offered as auto-renewing subscriptions. The contracting party and the applicable cancellation and refund terms depend on the sales channel through which the subscription was purchased:
— Subscriptions purchased via the iOS app are processed through Apple; Part B (Apple / iOS) applies.
— Subscriptions purchased via the Desktop app / website using Stripe are concluded directly with DuyTec GmbH; Part C (Stripe / Desktop) applies.
The applicable prices including statutory VAT are clearly shown before the order is confirmed.
Part B — Apple / iOS (via RevenueCat)
The following terms apply to subscriptions purchased via the iOS app in the Apple App Store (technically mediated through RevenueCat).
B1. Automatic Renewal (Apple)
Subscriptions renew automatically for the selected term (one month or one year) unless cancelled at least 24 hours before the end of the current period.
Charges for renewals are billed to the Customer’s Apple ID payment method 24 hours before the renewal date.
B2. Cancellation (Apple)
The Customer may cancel the subscription at any time via iOS Settings: Settings → Apple ID → Subscriptions → Aetherly.

In-app cancellation within Aetherly is not available per Apple’s policy. Cancellations take effect at the end of the current billing period; pro-rata refunds are not provided.
B3. Withdrawal and Refunds (Apple)
Refunds for subscriptions purchased via Apple are handled exclusively by Apple in accordance with their applicable refund policy. The Provider has no control over Apple’s refund decisions.

Part C — Stripe / Desktop (DuyTec GmbH as direct contracting party)
The following terms apply to subscriptions purchased via the Desktop app or the website using Stripe. Here, the contracting party is DuyTec GmbH directly.
C1. Term and Automatic Renewal (§ 309 No. 9 BGB)
The yearly subscription has a fixed 12-month initial term and then renews automatically for another year at the yearly price. During the renewal it can be cancelled monthly, effective at the end of the current contract month, with a pro-rata refund of the remaining full months. No new fixed yearly commitment arises.
The monthly subscription renews automatically for another month and can be cancelled at any time, effective at the end of the current billing month.
C2. Cancellation (Stripe)
A cancellation during the initial term takes effect at the end of the term. No pro-rata refund is provided during the initial term, and no cancellation fee is charged.
A cancellation during the renewal takes effect at the end of the current contract month; the remaining full months are refunded pro-rata (on a monthly basis, not day-accurate).

C3. Right of Withdrawal (§ 356 BGB)
Consumers have a 14-day right of withdrawal. Details and the model withdrawal form are provided in our withdrawal instructions.
For immediate commencement of the service, you may expressly waive the right of withdrawal at checkout; the right of withdrawal then lapses upon full performance of the contract.
C4. Post-Promotional Price Transparency (PAngV)
After a promotional or free period ends, the regular yearly or monthly price applies. This regular follow-on price is clearly disclosed to you before purchase.
Part D — Common Final Provisions
7. Limitation of Liability
The Provider is not liable for indirect damages, data loss, or lost profits arising in connection with the use of Aetherly. Liability for damages resulting from injury to life, body, or health, and for damages caused by gross negligence or intent on the part of the Provider or its agents, remains unaffected.
The Provider does not warrant continuous availability of the service. Planned maintenance will be announced in advance where possible.
8. Governing Law
The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is – to the extent permitted by law – the registered seat of DuyTec GmbH in Nienburg.
